These Terms of Use ("Terms") are an agreement between you (the business or person using ChatPlus — "you", "your", "Customer") and ChatPlus, operated by IPLEX INFOTECH ("ChatPlus", "we", "us", "our"), covering your access to and use of the chatplus.app website and the ChatPlus software platform (together, the "Service").
By creating an account, starting a free trial, or otherwise using the Service, you agree to these Terms. If you don't agree, please don't use the Service.
1. Eligibility
- You must be at least 18 years old and able to enter into a legally binding contract.
- You must be signing up on behalf of a genuine business, and you confirm you have the authority to bind that business to these Terms.
- The Service is for business use only, not personal or non-commercial messaging.
2. Your Account
- You're responsible for keeping your login details confidential and for all activity under your account.
- Notify us immediately at support@chatplus.app if you suspect unauthorised access.
- You must provide accurate, current information when you register and keep it up to date.
3. Plans, Free Trial, and Billing
- ChatPlus offers three plans — Growth, Pro, and Enterprise — billed Monthly, Quarterly, or Yearly as you choose at signup. Enterprise pricing is custom and governed by your signed order form, which takes priority over these Terms wherever the two conflict.
- New customers get a 7-day free trial. No card is required to start, and you won't be charged unless you choose to subscribe to a paid plan after the trial ends.
- Paid subscriptions are billed in advance for the period you choose and renew automatically at the end of each period unless you cancel before renewal.
- Prices are shown before tax; GST or other applicable taxes are added at checkout as required by law.
- We may change our prices or plans. If we do, we'll give you reasonable notice before the change applies to your next billing cycle.
- Meta charges its own per-conversation/messaging fees separately, based on your usage, under WhatsApp's official pricing. ChatPlus adds no markup on these Meta rates on Growth and Pro plans — but these charges are not part of your ChatPlus subscription fee and are handled per your account's billing setup with Meta.
4. Acceptable Use — Please Read Carefully
You agree that you will:
- Only message people who have properly opted in to receive WhatsApp messages from your business, in line with WhatsApp's Business Messaging Policy.
- Never upload, import, or message contact lists that were purchased, scraped, or otherwise collected without proper consent.
- Use Marketing and Utility message templates only for their intended purpose — for example, never disguise promotional content as a Utility/transactional template.
- Not use the Service to send spam, chain messages, or unsolicited bulk messages.
- Not send or promote content that is illegal, hateful, sexually explicit, violent, fraudulent, or that violates WhatsApp's Business Policy or Commerce Policy.
- Not attempt to reverse-engineer, copy, resell, or misuse the ChatPlus platform, or interfere with its normal operation.
- Not impersonate any person or business, or misrepresent your affiliation with one.
- Comply with all applicable laws, including data protection, consumer protection, and telecom/messaging regulations in the countries where you operate.
We may suspend or remove content, features, or your account if we reasonably believe you've broken this section.
5. Your Responsibility for WhatsApp Compliance and Bans
ChatPlus is built to help you avoid the number bans that come from unofficial tools, because we operate entirely on Meta's official WhatsApp Business Platform. However:
- WhatsApp Business Account approval, message template approval, quality ratings, messaging limits, and any restriction, suspension, or ban of your WhatsApp number or Business Account are decided solely by Meta, under Meta's own policies.
- If your number or account is restricted or banned because you violated WhatsApp's policies or messaged people without proper opt-in, ChatPlus is not responsible for that outcome, and no refund will be due for the affected period (see our Refund & Cancellation Policy).
We strongly recommend you read and follow Meta's WhatsApp Business Messaging Policy and Commerce Policy before sending any campaign.
6. Intellectual Property
ChatPlus, our logo, and our platform (excluding your own content, data, and templates) are owned by us or our licensors. You keep ownership of your own data, contacts, templates, and content uploaded to ChatPlus ("Customer Data"). You grant us a limited licence to use Customer Data only to provide and improve the Service to you.
7. Confidentiality
Each party will keep the other's non-public business information confidential and use it only as needed to perform under these Terms, except where disclosure is required by law.
8. Suspension and Termination
- You may cancel your subscription at any time — see our Refund & Cancellation Policy for what happens to your billing.
- We may suspend or terminate your access, with or without notice, if you break these Terms, misuse the Service, don't pay your fees, or if required to do so by Meta or by law.
- On termination, your right to use the Service ends. Sections such as Intellectual Property, Confidentiality, Limitation of Liability, and Governing Law survive termination.
9. Service Availability and Disclaimers
We work hard to keep ChatPlus available and reliable, but the Service is provided "as is" and "as available," without warranties of any kind. We don't guarantee uninterrupted or error-free operation, and we're not responsible for outages, delays, or issues caused by Meta's WhatsApp Business Platform, the internet, or third-party services outside our control.
10. Limitation of Liability
- To the maximum extent permitted by law, ChatPlus will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
- Our total liability to you for any claim relating to the Service will not exceed the amount you paid us for the Service in the 3 months before the claim arose.
- Nothing in these Terms limits liability that cannot be limited under applicable law.
11. Indemnification
You agree to defend, indemnify, and hold ChatPlus harmless from any claims, damages, or expenses arising from your misuse of the Service, your breach of these Terms, your violation of WhatsApp's policies, or your violation of any law or third-party right.
12. Governing Law and Disputes
These Terms are governed by the laws of India. Courts at Kosamba, India will have exclusive jurisdiction over any dispute, except where local consumer protection law requires otherwise.
13. Changes to These Terms
We may update these Terms from time to time. We'll post the updated version here with a new "Last updated" date, and for material changes we'll try to notify you by email. Continuing to use ChatPlus after changes take effect means you accept them.
